Technical Due Diligence

An independent technical audit before you deploy capital to acquire, fund, or merge with a software company you did not build.

Timeline: 2 to 4 weeks
Model: Fixed Scope & Deliverable
Confidentiality: Clean-Room NDA Protocol

Financial due diligence reveals what a software company is worth on paper. Technical due diligence tells you what you are actually buying — the underlying resilience of the codebase, architectural scalability against commercial forecasts, hidden maintenance liabilities, security exposure, and the true cost of neglected engineering debt.

Too many acquisitions proceed on surface-level questionnaires or high-level slide decks provided by the seller. Post-acquisition, new owners are blindsided by brittle monolithic architectures that cannot scale, unindexed databases causing synchronous lockups, or critical systems held together by a single engineer who intends to leave post-close.

Anubis conducts clean-room, uncompromised technical audits for private equity firms, institutional investors, and strategic acquirers. We work exclusively for you — not the seller, not the broker, and not the deal. We read the source code, trace distributed network bottlenecks, inspect cloud infrastructure-as-code, and translate deep engineering findings into direct financial consequences.

When Decision-Makers Call Us

Engagements are usually triggered by an upcoming capital commitment, an inflection point in scale, or a high-stakes disagreement.

Evaluating an acquisition target whose software hasn’t been independently audited.
Sizing the post-acquisition capital expenditure required to modernize legacy infrastructure.
Assessing whether the target’s technology can actually support the growth thesis.

What You Leave Knowing

  • What technology you are actually buying versus what is vaporware
  • Where the genuine technical risks and bottlenecks exist
  • What open-source or architectural liabilities are hidden in the codebase
  • What remediation will cost in time and capital
  • Whether the technology realistically supports the business case

Architecture & Diligence Anonymized Case Teardown

Pre-Acquisition Technical Diligence for a $28M B2B SaaS Platform

The Context

A private equity firm was evaluating a $28M majority acquisition of a high-growth compliance SaaS platform with an offshore engineering team.

What Was Assumed

The target claimed their microservices architecture was fully auto-scaling, cloud-native, and capable of supporting 5x growth with zero major re-engineering.

Underlying Reality Uncovered

Direct code and cloud inspection revealed that while services were split into separate containers, they all shared a single unpartitioned PostgreSQL instance with synchronous database-level table locks on primary transaction tables. Furthermore, core background processing relied on an undocumented in-memory queue that lost jobs on restart.

Our Intervention & Outcome

The buyer closed the deal with adjusted terms and executed our 100-day remediation blueprint, stabilizing the database and avoiding a catastrophic outage during their Q4 peak.
